ACCESS AND REGISTRATION
  1. You must be 18 years of age or over to use this Site.
  2. You are free to browse many areas of the Site without registering. However, if you want to place an order, access purchased content or access certain other parts of the Site, then you will need to register.
  3. You must ensure that all the information you provide when you register or place an order is true, accurate, current and complete in all respects.
  4. If you become aware of any misuse or unauthorised use of your log-in details, including those of any Authorised Users, then you must inform GDB Data immediately by sending an e-mail to info@gdbdata.com
CONTENT AND SERVICES AVAILABLE ON THE SITE
  1. GDB Data provides access to its information for a fee. You can purchase this content at the prices stated on the Site. Any rights not expressly granted in these Terms are reserved.
  2. If you wish to use our content in any way not expressly permitted in these Terms below (including, but not limited to making them available via an intranet or extranet or to or via a mobile device), you must first request written permission from us. GDB Data may grant or withhold permission for such use at its own discretion.
CONTENT FOR PURCHASE
  1. Permission to use purchased content
    1. When you buy any of our content in digital form, what you are buying is the right to use it (or extracts from the same) for your own reference in connection with your business in the following ways only:
      • to view it online;
      • to download the data in available electronic format;
      • to store that content in electronic format on the drive of one hardware device; to print out one copy of that digital content;
ONLINE SERVICES
  1. GDB Data offers access to the data via the Online Services.
  2. GDB Data allows limited use and re-use of the content made available through our Online Services, subject to certain permissions and restrictions as set out in these Terms. These permissions and restrictions are designed to create a balance between, on the one hand, the flexibility given to Authorised Users in their use and re-use of GDB Data material and, on the other hand, the restrictions necessary to protect GDB Data commercial interests by preventing the creation of substitute products. For details of who can use this content and these services, and how they can be used.
  3. GDB Data provides telephone training and assistance for all Authorised Users from its international offices during GDB Data normal business hours.
  4. Permission to use content accessed using Online Service.
    1. When you pay for Online Service(s), what you are buying is the right for one “Authorized User” to access and use the digital content available through that service (or extracts from the same) in connection with your business.
    2. “Authorized Users” are the named employees whose usual place of work is at the business address you specify at the time you place your order. After your order has been processed, GDB Data will contact you to obtain the name of the Authorised User and provide individual login details accordingly. In the course of performing their duties for your business, Authorised User will be able to access the Online Service(s) in the following ways only:
      • to browse and search for digital content on the Site;
      • to view it online;
      • to download and store copies of that digital content in an available electronic format;
      • to print out copies of that digital content and make photocopies of those print-outs;
      • to make those print-outs and photocopies available to other Authorised User;
    3. Restrictions on the use of content accessed using Online Service.
      1. You may not use the content in any way not permitted above in Clause 4.5, in particular:
        • Except as specifically provided for elsewhere in these Terms, you and/or any Authorised User shall not knowingly permit anyone other than Authorised Users to use the content or services.
        • Except as mentioned in Clause 4.5 of these Terms, neither you nor any Authorised Users may re-distribute or make available to third parties any content or other part of a Online Service available.
        • Neither you nor any Authorized User may remove, obscure or modify any copyright or other notices included in the content or the services nor any metadata or digital rights management intelligence that may be associated with them.
        • Please note: If you are unclear about how Authorized Users are permitted to use our services and content in accordance with these Terms, please ask us by contacting your account manager.
ELIGIBILITY TO PLACE AN ORDER
  1. To be eligible to place an order for content on the Site, you must:
    • be placing an order on behalf of your business and have the necessary authority to do so;
    • register by providing the name, address, phone number and contact details of your business in addition to your real name, e-mail address and other required information;
    • possess a valid credit or debit card issued by a card issuer acceptable to GDB Data (i.e. Visa, Mastercard or American Express).
  2. Making a contract
    1. Your order is an offer by you to buy from us. The following steps have to take place before a contract is made online between you and GDB Data
      • You place your order for content and/or any Online Services on the Site
      • You will see an on-screen acknowledgement that your order is complete.
      • GDB Data will also send you an e-mail acknowledging the content that you have ordered and the total cost of your order.
      • In respect of any Online Services, GDB Data accepts your order and therefore the contract is made between you and GDB Data, when GDB Data makes the Online Service account(s) available for use by any Authorised Users.
ACCESSING PURCHASED online SERVICES
  1. Accessing Purchased Content
    1. Once you have submitted your order and your payment details have been confirmed (subject to any delays beyond GDB Data control) GDB Data will send you an e-mail confirming your purchase and links to purchased content.
    2. Your online account will be valid for 12 months and you must download the data within this period. If you failed to download the content within this time, please email info@gdbdata.com, and they will extend the access for another 30 days.
  2. Accessing Online Services
    1. GDB Data London office will be responsible for providing Authorised Users with online access to any Online Services that you order. Once your payment details have been confirmed (subject to any delays beyond GDB Data control), GDB Data will contact you within two of its usual business days to obtain the names of the Authorised Users that are to access the Online Service(s) and provide you with the relevant access details.
    2. If you wish to increase the number of Authorised Users that access the Online Service or extend the period during which Authorised Users have access to a Online Service, please contact GDB Data via info@gdbdata.com.
CANCELLATION AND TERMINATION
  1. Cancelling your order
    1. GDB Data may decline your order for any reason, in which case GDB Data will send you an e-mail telling you so. If the reason for declining your order is because GDB Data cannot obtain authorisation of your payment details for any reason, then GDB Data may invite you to pay by another method.
    2. If you opt to pay for any Subscription Services by invoice, GDB Data reserves the right to cancel any order(s) for the same if for any reason your payment is not processed within 30 days of the date of your order.
    3. GDB Data reserves the right to terminate any contract with you if your payment is not processed for any reason, but you have nevertheless received the content or access to services you have ordered. In such an event, GDB Data may on notice to you withdraw your right to use such content or services (as described above) and require you to delete or return such content, including content obtained through any services provided, as appropriate.
  2. Terminating a contract for Online Service(s)
    1. GDB Data or you may terminate a contract for Online Service immediately by giving written notice to the other in any of the following events:
      • If the other party commits any breach of any of these Terms and fails to remedy that breach (if capable of remedy) within 30 days after notice from the other party giving full particulars of breach and requiring it to be remedied; or
      • If the other party enters into liquidation, whether compulsory or voluntary (except for the purposes of bona fide reconstruction or amalgamation with the prior approval of the other party), or compounds with or makes any arrangements with its creditors or makes a general assignment for the benefit of its creditors, or if it has a receiver, manager, administrative receiver or administrator appointed over the whole or substantially the whole of its undertaking or assets, or if it ceases or threatens to cease to carry on its business, or makes any material change in its business, or if it suffers any analogous process under any foreign law.
    2. Upon termination of a contract for Online Services, access to those services by you or any Authorised Users shall be terminated.
    3. Termination shall not affect any right to damages or other remedy which the terminating party may have in respect of the event giving rise to the terminations.
    4. All GDB Data Subscriptions are non-refundable. Customers are not entitled any refunds or prorations for cancellation, partial-month usage, or non-usage of the Service. All subscriptions automatically renew at the end of each term. Customer must cancel the Service before the annual renewal date in order to avoid automatic billing of subscription fees for the renewal term. Cancellations must be in writing, sent to info@globaldatabase.com
AVAILABILITY OF ONLINE SERVICES
  1. GDB Data makes every effort to make the Online Services available to you and Authorised Users at all times save for routine maintenance, and to restore access to these services as soon as possible in the event of their interruption or suspension.
  2. If the Online Service becomes unavailable for any reason, GDB Data will endeavour to supply the content available under that service manually by e-mail, fax, or similar means. If the Online Service remains unavailable for more than 24 hours and if the unavailability is not beyond GDB Data control, access under these Terms will be extended for a period of time equal to the period of unavailability.
  3. GDB Data reserves the right to conduct essential maintenance, software upgrades and other works necessary to maintain the efficient provision of the Site and any content or services provided through it. Where such works result in any Online Service becoming temporarily unavailable, GDB Data will provide you with at least two weeks’ notice and shall wherever possible carry out works on Saturdays or Sundays (GMT).
  4. Where access to the content, services or any part of the Site is to be controlled by use of passwords, you and all Authorised Users shall use reasonable efforts to ensure that Authorised Users do not divulge their identification numbers, passwords or other login details to any third party. You and all Authorised Users will use all reasonable endeavours to ensure that any unauthorised disclosure or use of passwords is reported to GDB Data as soon as you or they become aware of it.
  5. In the event of any unauthorised use of any Online Service, GDB Data may, at its discretion and without prejudice to any other remedy, suspend or terminate access by such method as it deems appropriate. In the case of suspension, this will continue until GDB Data is satisfied that the unauthorised use will not recur.
LINKS
  1. The Site may include links to third party websites such as useful research websites and promotional partners. GDB Data has not reviewed these third party websites and does not control and is not responsible for these websites or their content or availability. GDB Data therefore does not endorse or make any representations about them, or any material found there, or any results that may be obtained from using them.
  2. If you decide to access any of the third party websites linked to the Site, you do so entirely at your own risk. In particular, any personal information you give to a third party website will be dealt with in line with that third party’s privacy policy, not GDB Data, so please ensure that you read their privacy policy before you provide any personal information.
  3. You may link from your own website to the Site, provided:
    • the Site is not loaded into frames on your website and is not otherwise passed off as your own content; and
    • your website or service does not misrepresent its relationship with GDB Data or present false information about GDB Data.
  4. GDB Data reserves the right to withdraw linking permission at any time without prior notice.
